These Terms of Service ("Terms") govern your use of the products and services provided by GoAGI Inc. ("GoAGI," "we," "us," or "our"), including access to the Agentic AI Data Foundry platform, websites, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
"User" means an individual or entity that accesses or uses the Services.
"Customer Data" means data, content, or materials submitted to the Services by Users.
"Platform" means the AI Data Foundry system and any other software or services provided by GoAGI.
You must be at least 18 years old and legally capable of entering into binding agreements to use the Services. If you are accessing the Services on behalf of a business, you represent that you are authorized to bind that entity to these Terms.
You may need to create an account to access certain Services. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity under your account.
Subject to these Terms, GoAGI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. We reserve all rights not expressly granted.
You agree not to:
Copy, modify, reverse engineer, decompile, or disassemble the Services
Use the Services for any illegal or unauthorized purpose
Interfere with or disrupt the integrity or performance of the Services
Introduce malware, spam, or harmful code into the Services
Resell or lease the Services to third parties without written consents
You retain ownership of all Customer Data submitted to the Services. You grant GoAGI a worldwide, limited license to host, use, and process Customer Data for the purpose of providing and improving the Services. We do not train AI models on your data without explicit consent.
Use of the Services is also governed by our Privacy Policy and Security Statement , which are incorporated by reference into these Terms.
We may update, enhance, or discontinue features of the Services at any time. We will provide advance notice of any changes that materially affect your use of the Services.
If applicable, payments for Services are due according to the terms in your order form, proposal, or invoice. All fees are non-refundable unless otherwise stated.
All intellectual property rights in the Services, including but not limited to software, code, designs, and trademarks, are owned by GoAGI or its licensors. No rights are granted except as explicitly stated.
The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Services will be error-free, uninterrupted, or meet your specific requirements.
You agree to indemnify and hold harmless GoAGI and its affiliates from any claims, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Services or violation of these Terms.
To the fullest extent permitted by law, GoAGI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from or related to your use of the Services.
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any legal action shall be brought exclusively in the state or federal courts located in Delaware.
Before filing a claim, you agree to attempt to resolve the dispute by contacting us at legal@goagi.ai If unresolved, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association.
GoAGI shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including acts of God, internet outages, war, terrorism, labor disputes, and governmental actions.
We may revise these Terms from time to time. We will post the updated Terms on our website with the "Last Updated" date. Continued use of the Services constitutes your acceptance of the changes.
Both parties agree to maintain the confidentiality of any non-public, proprietary, or confidential information disclosed in connection with the Services (“Confidential Information”). You agree not to disclose, copy, distribute, or use any Confidential Information for purposes outside the scope of these Terms without prior written consent.
This obligation does not apply to information that:
Was publicly known at the time of disclosure,
